Files and Templates
The Files and Templates section in Onramp provides a convenient repository for essential documents and legal templates associated with your entity. After connecting your wallet and accessing the Onramp dashboard, follow these steps to explore and utilize this valuable resource:
- Connect Your Wallet: Begin by connecting your wallet to Onramp's platform.
- Access Your Dashboard: Once connected, access your Onramp dashboard.
- Select Entity: Within the dashboard, choose the specific entity you intend to manage.
- Navigate to Files and Templates: From the left-hand menu, find and select the Files and Templates section.
Available Documents
- Series Operating Agreement for Your LLC: Access the operating agreement tailored specifically for your LLC. This document is crucial for defining the terms, rights, and responsibilities of your entity's members.
- Master LLC Certificate of Formation: Gain access to the certificate of formation for the master LLC. This would be a link to the registry.
- Master LLC Operating Agreement: Explore the operating agreement for the master LLC. While this document is managed by Onramp, it doesn't impact the structure or operations of your individual series LLC.
Certificate of Formation
The Certificate of Formation is typically issued by the state in which the entity is incorporated. However, entities (LLCs) created using Onramp are legally classified as “Protected Series.”
For entities created through Onramp, you will need to use the Certificate of Formation of your master entity.
Note: No Protected Series created on Onramp will have its own Certificate of Formation, as these entities are not independently registered and do not require separate registration in the state.
Proof of Address
KYC/KYB platforms typically require one of the following three types of addresses:
- Entity Legal Address: Also known as the Registered Office Address, this can be found in your entity's dashboard. This address cannot accept mail and is typically used in fields that ask for a “Legal Address.”
- Company Physical Address: The physical address is where you or your team work daily. This must be a real, physical location. Banks typically request proof of this address. If you are a freelancer or a remote team, you can use your residential address and provide a utility bill as proof. It is not necessary for your entity's name to be on the bill, but your full legal name must be present. Onramp does not provide this address.
- Virtual Mailing Address: A mailing address where you can receive physical mail. Proof of this address is rarely required. Onramp can provide this service. To obtain a Virtual Mailing Address, visit the Plugins section and look for the “Virtual Mailing Address” option.
Certificate of Incumbency
The Certificate of Incumbency is a document that confirms the officers, owners, members, and managers of an entity. A template for this document can be found under Files and Templates.
If this certificate requires notarization, you can use any online notary service to complete the process.
